Remote M&A Attorney Dark Alpha Capital Fully Remote | Full-Time
We are a growing, innovative firm seeking an experienced M&A Attorney to join our collaborative legal team. This fully remote position offers significant flexibility, the opportunity to work on sophisticated transactions, and the chance to contribute to high-stakes deals in a dynamic environment.
Key Responsibilities
- Advise clients on mergers, acquisitions, divestitures, joint ventures, and other complex corporate transactions
- Lead and manage all aspects of M&A deals, from initial structuring and client consultations through negotiation and closing
- Conduct comprehensive legal, financial, and operational due diligence
- Draft, review, revise, and negotiate transactional documents including purchase agreements, disclosure schedules, ancillary agreements, and closing deliverables
- Provide strategic counsel on corporate governance, securities compliance, regulatory requirements, and risk mitigation
- Collaborate closely with internal teams, external counsel, financial advisors, and other stakeholders
- Build and maintain strong, long-term client relationships while effectively managing multiple concurrent engagements
- Stay abreast of evolving laws, regulations, market trends, and best practices in M&A and corporate law
Qualifications & Requirements
- Juris Doctor (JD) degree from an accredited U.S. law school
- Active bar admission in at least one U.S. state (additional admissions a plus)
- Minimum 5 years of relevant M&A transactional experience, preferably at a reputable AmLaw firm, boutique M&A practice, or sophisticated in-house corporate legal department
- Deep knowledge of corporate law, securities regulations (including SEC rules), and M&A processes
- Exceptional drafting, negotiation, and client-communication skills
- Proven ability to work independently, prioritize effectively, and thrive in a high-volume, fast-paced environment
- Strong analytical thinking, attention to detail, and creative problem-solving abilities
- Proficiency with legal research tools, document management systems, and modern legal technology
